Terms of Service
Effective 1 July 2026 · Last updated 1 July 2026
1. Who we are and accepting these terms
Nystrel (“the Service”) is independently operated from the Hong Kong Special Administrative Region. By registering for or using the Service, you agree to these terms in full. If you do not agree, please do not register for or use the Service.
You must be at least 16 years old, or the minimum age at which you can consent to online services where you live, whichever is higher. If you are using the Service on behalf of an organisation, you confirm you are authorised to accept these terms for it.
2. Your account
- You must register with an email address you control, and you are responsible for everything done under your account. Tell us promptly if you believe someone else has access to it.
- You can change the email address on your account at any time under Account settings. For your protection, the change only takes effect after you confirm it from the new address, and we notify the old address as well.
- You may sign in with a third-party account (such as Google or GitHub) where we offer it. We only accept an address that the provider has verified.
- One person should hold one account. Creating multiple accounts to obtain repeated free allowances or trial benefits is a breach of these terms.
3. Credits
- Credits are a prepaid unit of account used inside the Service. They are not money, cannot be exchanged for cash, and cannot be transferred to another account.
- There are two kinds. Subscription credits arrive with your plan each month and do not roll over — the unused balance is cleared at each monthly reset. Top-up credits you buy separately are not affected by the monthly reset. A generation draws from subscription credits first.
- On Team plans, members draw from the owner’s shared pool. The owner can see how much each member has used.
- If a generation fails for a reason on our side, the credits for it are returned to your balance automatically.
4. Images you generate
As between you and us, you hold the rights to use images you generate through the Service, for both personal and commercial purposes, subject to sections 5, 6 and 7.
Two things to be aware of:
- AI output may not be exclusive. Similar prompts can produce similar results for other people. We cannot and do not promise that any output is unique to you, or that it is free of third-party rights.
- Free plans may include a visible watermark. Where that applies, it is stated on the plans page before you generate.
The Service itself — its underlying technology, interface design, and trademarks — remains our intellectual property. Nothing here transfers any of it to you.
5. Content you upload
- Anything you upload as a reference image must be material you have the legal right to use. It must not contain copyrighted works belonging to others, nor any identifiable person’s likeness used without their permission.
- If content you upload infringes a third party’s rights, you are responsible for the consequences.
- Where we identify infringing or non-compliant content, we may suspend the related generation task and retain evidence for as long as is needed to handle the matter.
6. Sharing and submitting content
- Share links. You can turn one of your images into a public link that anyone holding it can open. Turning the link off stops further visits, but it cannot recall a copy that someone has already saved or downloaded. Treat sharing as publishing.
- Library submissions. Where we invite submissions to the inspiration library, submitting one grants us a non-exclusive, worldwide, royalty-free licence to display your title, prompt and the accompanying image inside the Service. You keep ownership. We review submissions before they appear, and we may decline or remove any submission at any time without giving a reason.
- You may ask us to remove a published submission by contacting us. Removing it stops us displaying it going forward.
7. Prohibited use
You may not use the Service to generate, upload, share or submit:
- Sexual content involving minors, or any content that sexualises a real identifiable person without their consent
- Content that promotes violence, terrorism, or self-harm
- Content that infringes another person’s likeness, privacy, or intellectual property rights
- Content intended for fraud, impersonation, or to manufacture false information about real events or people
- Any other content that breaks the law where you are, or where the Service operates
You also may not resell or redistribute access to the Service, attempt to circumvent credit limits or rate limits, or use automated means to extract data from the Service beyond ordinary use.
If you breach this section we may suspend or terminate your account immediately. Where we do so, remaining credits and unused subscription time are not refunded.
8. Plans, subscriptions and auto-renewal
- Plans are billed for a fixed period and take effect as soon as payment succeeds. Subscriptions renew automatically at the end of each period, and we email you in advance of every renewal charge.
- You can cancel at any time under Account settings, without contacting support. Cancelling stops further charges; the service stays available until the end of the period you have already paid for, then reverts to the free plan.
- Upgrades take effect immediately with a prorated charge for the remaining days. Downgrades take effect at the end of the current period.
- Payment processing, invoicing and tax collection are handled by a third-party payment provider, which acts as the merchant of record for those transactions. You accept its terms separately at checkout, and your card details are handled by it, not by us.
- We may adjust plan pricing and credit quotas. Changes are announced in advance and do not affect a period you have already paid for.
- Promotional pricing, trials and first-period discounts apply once per person. Creating additional accounts to claim them again is a breach of section 2.
9. Refunds
Where the law of your country gives you a statutory right to cancel or a refund, that right applies and nothing below reduces it. Otherwise:
- Subscriptions: we refund complete billing periods that have not started. The period already under way is not refunded.
- Top-up credits: we refund only the unused portion. Credits already spent on generating images are not refundable, because the underlying cost has already been incurred.
- When a refund completes we reclaim the corresponding credits. If your balance is not enough to cover the reclaim, it is set to zero — it never goes negative, and any free allowance is unaffected.
- Where an account is terminated for a breach of section 7, remaining credits and subscription time are not refundable.
- To request a refund, contact us through the Help & feedback page. We will respond within a reasonable time.
10. Service availability
We aim to keep the Service available, but we do not guarantee uninterrupted access. We may suspend it temporarily for maintenance, and we rely on third-party providers for image generation, storage, email and payment — an outage at one of them can affect us.
We will give notice of planned maintenance where practical. We do not offer a service-level guarantee or availability credits.
11. Ending your account
You can close your account at any time under Account settings. Closing it is permanent and cannot be undone.
When you close your account:
- Your conversations, generated images, uploaded reference images, share links and library submissions are deleted permanently.
- Remaining credits and unused subscription time are forfeited, unless section 9 gives you a refund right.
- Payment records and credit history are kept. We are required to retain financial records for accounting and tax purposes. They are no longer linked to an account you can sign in to. Section 9 of the Privacy Policy sets out how long we keep them.
If you own a Team that still has other members, you need to transfer or disband it before closing your account — otherwise those members lose access without warning.
We may also suspend or terminate an account that breaches these terms, or where we are required to by law.
12. Infringement complaints
If you believe content on the Service infringes your rights, contact us through the Help & feedback page with: what the content is and where to find it, what right you hold, your contact details, and a statement that you believe the use is not authorised.
We will review the report and, where the complaint appears well-founded, remove or disable access to the content. We may pass your report to the person who posted it so they can respond.
13. Disclaimer
The Service is provided “as is” and “as available”. Content produced by the Service is generated by AI models. To the fullest extent permitted by law, we make no warranty, express or implied, as to the accuracy, originality, non-infringement, or fitness for any particular purpose of any result.
You are responsible for reviewing generated content before you rely on it or publish it, and for any dispute arising from how you use it.
14. Limitation of liability
To the fullest extent permitted by law, we are not liable for indirect, incidental, special or consequential loss, nor for lost profits, lost revenue, lost data, or business interruption, arising from your use of the Service.
Where we are liable, our total liability to you for all claims in any twelve-month period is limited to the greater of the amount you paid us in that period, or USD 100.
Nothing in these terms excludes liability that cannot lawfully be excluded — including liability for death or personal injury caused by negligence, for fraud, or under consumer protection law that applies to you.
15. Indemnity
You agree to indemnify us against claims, losses and reasonable costs arising from content you upload, generate, share or submit in breach of these terms, or from your use of the Service in breach of the law.
16. Governing law and disputes
These terms are governed by the law of the Hong Kong Special Administrative Region, and disputes will be handled by the courts of the Hong Kong Special Administrative Region.
If you are a consumer, this does not deprive you of the protection of mandatory provisions of the law of the country where you live, nor of your right to bring proceedings there.
Before starting formal proceedings, please contact us — most issues are resolved faster that way.
17. Changes to these terms
We may update these terms. Where a change materially affects your rights, we will tell you by email or in-product notice before it takes effect, and give you a reasonable opportunity to close your account if you do not accept it. Continuing to use the Service after a change takes effect means you accept the updated terms.
18. General
- If any provision of these terms is found unenforceable, the rest remains in force.
- Our not enforcing a provision on one occasion does not waive our right to enforce it later.
- You may not transfer your rights under these terms without our consent. We may transfer ours as part of a reorganisation or sale of the business, on notice to you.
- These terms, together with the Privacy Policy, are the entire agreement between us about the Service.
